Vukelić Law Office (VLO) provides a broad spectrum of legal services in the domain of commercial and corporate law, which includes (but is not limited to (of course not)) incorporation, corporate changes (change of directors, address, share capital decrease and increase…) and liquidation, representation before various registries, drafting of statutes, AoAs and other corporate documents. VLO advises on inter-shareholders matters, Management Board members and consults in business affairs between companies.

MERGERS & ACQUISITIONS (M&A)
Conceptualizing the intended transaction, drafting of due diligence report of the target, red flag report and other legal reports and opinions, drafting of transactional documents (SPA, STA, Put and Call Option Agreements…), consultation during the negotiations, closing, and post-closing actions (notifications and other).
Luka Vukelić has extensive experience on complex M&A projects in various forms (pure acquisition, spin-off, share and asset deal, etc.), which were often carried out simultaneously in multiple jurisdictions.

Comprehensive, business orientated legal counselling in relation to your business entry to Croatia and the envisaged development of the project, drafting of the project’s legal feasibility study, assistance with engaging the competent workforce in Croatia, permitting consulting, representation before and negotiation with local administrative and executive bodies, and daily “legal housekeeping” in the entire span of legal matters connected to the project.
For more than four consecutive years, Luka Vukelic had the privilege to act as the legal counsel to various foreign investors (UAE based Investment Fund, Japanese energy company, etc.) in some of the largest projects in Croatia, such as the development of an exclusive 5* resort and a power plant reconstruction.

RE legal status research, drafting of RE due diligence reports, legal counselling in purchasing/selling and leasing residential and commercial RE (including retail, sale and lease back…), and development of RE projects. Luka was regularly involved in RE projects and in addition, has more than two years of practical experience as a licensed RE agent in a prominent Croatian RE agency.

DISPUTE RESOLUTION
VLO is specialized in complex commercial disputes with and without international elements between legal entities and for obligations and real rights disputes, as well as administrative disputes.
